Terms of Sale — Imperial Equine, LLC

These Terms of Sale govern every purchase made on imperialequine.com (the "Site") from Imperial Equine, LLC ("Imperial Equine," "we," "us," or "our"). They apply alongside, and do not replace, our Terms of Use, Refund Policy, Shipping Policy, and Legal Notice. By placing an order, you agree to these Terms of Sale.

1. Order Acceptance

Your order is an offer to purchase, not an acceptance. We may accept, decline, limit the quantity of, or cancel any order at our sole discretion, including where we suspect fraud, identify a pricing or listing error, cannot verify payment, or cannot fulfill an order for any other reason. If we cancel an order after payment has been captured, we will issue a full refund of the amount charged.

2. Pricing and Taxes

All prices are listed in U.S. dollars and are exclusive of applicable sales tax, which will be calculated and added at checkout based on your shipping address. We reserve the right to correct pricing errors at any time, including after an order has been placed, and will notify you before shipping if a correction affects your order.

3. Payment Authorization

By providing a payment method, you represent that you are authorized to use it and you authorize us (or our payment processor) to charge the full order total — including product price, shipping, and tax — to that payment method. For Subscribe & Save (auto-ship) orders, you authorize recurring charges on the schedule described in our Terms of Use until you cancel.

4. Product Warranty Disclaimer

Except as expressly stated on a product's label, Imperial Equine makes no warranty, express or implied, regarding any product sold on the Site, including no warranty of merchantability or fitness for a particular purpose. Products are sold "as is." See our Legal Notice for product cautions, warnings, and directions for use, which apply to every sale.

5. Delivery and Risk of Loss

Estimated delivery times are provided at checkout and are not guaranteed. Title and risk of loss for products pass to you upon our delivery of the order to the shipping carrier. We are not responsible for delays, loss, or damage caused by the carrier after that point, though we will reasonably assist you in filing a claim with the carrier where appropriate.

6. Returns and Refunds

Sales are subject to our Refund Policy, which is incorporated into these Terms of Sale by reference. Because our products are consumable equine supplements, opened or used product generally cannot be returned for health and safety reasons.

7. Limitation of Liability

Imperial Equine, LLC's liability for use of any product purchased through the Site shall not exceed that product's purchase price, and in no event shall Imperial Equine, LLC be liable for any consequential or incidental damages resulting from a product's use. This limitation is in addition to, and does not replace, the limitation of liability set out in our Terms of Use.

8. Force Majeure

We are not liable for any failure or delay in fulfilling an order caused by events beyond our reasonable control, including natural disaster, carrier disruption, labor dispute, or supply shortage.

9. Governing Law and Disputes

These Terms of Sale are governed by the laws of the State of California, without regard to conflict-of-law principles, and are subject to the arbitration agreement, class action waiver, and dispute resolution procedure set out in our Terms of Use, which apply equally to any dispute concerning a purchase made under these Terms of Sale.
